Basically it's a conflict of interest to have personal friends serving on your board.

The problem is Dish is no longer no mom and pop company like it was 16 years ago.

Your dealing with billions of dollars of other people's money and there are laws and procedures that must be followed.

Dish somehow thinks they are above the law, and this stuff is finally catching up with them.

I don't completely understand what happened with light squared, but this same type of crap has been going on for many years
 
And this is only WORSE at even much bigger companies. This is par for the course in business, unfortunately. Independent boards don't exist. All board actions at all companies are all about personal relationships among and between the Board and its corporate officers. Success and scandal at all corporations has at its center personal relationships that lacks any independence. A gang of rouges who often think alike is what a corporate Board and its officers is all about.
